Confidentiality

Introduction

This Privacy Agreement (hereinafter referred to as the “Agreement”) governs the exchange and protection of Confidential Information LLC”between (hereinafter referred to as the “Company”) and its clients, employees, and partners (hereinafter referred to as the “Parties”).

Definition of Confidential Information

Confidential information is considered to be any information that:

  • related to the activities of the company, customers, finances;
  • contains personal data;
  • constitutes a commercial secret;
  • Marked as “Confidential”.

Obligations of the parties

The parties are obliged to:

  • observe the confidentiality of confidential information;
  • do not disclose confidential information to third parties;
  • use confidential information only for its intended purpose;
  • Take all necessary measures to protect information.

Exceptions

This Agreement does not apply to information that:

  • publicly available;
  • obtained in a lawful manner from a third party;
  • Must be disclosed as required by law.

Return or destruction of information

In case of termination of the agreement, the parties are obliged to return or destroy the confidential information in their possession.

Term of validity of the agreement

This agreement is valid from the moment of signing and is valid for 5 years even after the termination of the agreement.

responsibility

In case of breach of the Agreement, the breaching party shall be liable in accordance with the legislation of Georgia.

Dispute Resolution

All disputes will be resolved through negotiation. If the agreement fails, the dispute will be resolved in the Georgian court.

Final Provisions

Changes to this Agreement can only be made in writing.

This Agreement shall be governed by the legislation of Georgia.
